1. Introduction and Acceptance
Welcome to BeAKid. These Terms of Service (“Terms”) are a legally binding agreement between you and Collective Learning Inc., doing business as BeAKid (“Company,” “we,” “us,” or “our”). These Terms govern your access to and use of our website at beakid.com (the “Site”), our mobile applications (including BeAKid-Brain), and all related products, tools, and services (collectively, the “Services”). By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree, you must stop using our Services immediately. We may update these Terms from time to time, and continued use of our Services after changes are posted constitutes your acceptance of the updated Terms.
2. Our Services
BeAKid is an educational technology company that offers multiple products and services designed to support children’s learning and connect parents, service providers, and schools. Our Services include:
2.1 BeAKid Marketplace
An online marketplace where parents can discover and connect with educational service providers, enrichment programs, tutors, and learning resources for their children.
2.2 BeAKid SaaS Platform
A registration and management software platform for educational service providers, enabling them to manage enrollments, schedules, payments, communications, and administrative operations for their programs and services.
2.3 BeAKid School Access
A platform for school districts to manage and coordinate educational programs, resources, and communications for their students and families.
2.4 BeAKid-Brain Mobile App
An iOS mobile application that transforms children’s screen time into learning moments by periodically presenting age-appropriate educational questions that must be answered before children can continue using selected apps on their device. BeAKid-Brain is subject to these Terms as well as its own supplemental App-specific Privacy Policy available at https://beakid.com/brain/privacy.
2.5 Additional Services
We may introduce additional products, tools, or services from time to time. Any new Services will be subject to these Terms unless otherwise stated.
3. Eligibility
3.1 General Users
You must be at least 18 years of age to create an account or use our Services. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement.
3.2 Service Providers
If you are using the BeAKid SaaS Platform as an educational service provider, you represent that you have the authority to bind your organization to these Terms and that your organization complies with all applicable laws and regulations related to the services you offer.
3.3 Schools and Districts
If you are using BeAKid School Access on behalf of a school district, you represent that you are authorized to accept these Terms on behalf of the district and to comply with all applicable education laws, including FERPA.
3.4 Parents and Guardians
If you are using our Services on behalf of a minor child, you represent that you are the child’s legal parent or guardian and consent to the child’s use of applicable Services (such as BeAKid-Brain) under your supervision and in accordance with these Terms and our Privacy Policy.
4. Account Registration and Security
To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to notify us immediately of any unauthorized access to or use of your account. We reserve the right to suspend or terminate accounts that we believe have been compromised or that violate these Terms. You may not create multiple accounts for the same person, create accounts on behalf of others without authorization, or share your account credentials with third parties.
4. Account Registration and Security
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services in any way that violates any applicable federal, state, local, or international law or regulation
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
- Post, upload, or transmit content that is defamatory, obscene, abusive, threatening, discriminatory, or otherwise objectionable
- Interfere with or disrupt the integrity or performance of the Services or the data contained therein
- Attempt to gain unauthorized access to the Services, other user accounts, or any related systems or networks
- Use automated scripts, bots, scrapers, or other automated means to access or interact with the Services
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software used in the Services
- Collect or harvest any personally identifiable information from other users without their consent
- Use the Services to send spam, unsolicited messages, or promotional material
- Circumvent or disable any security features of the Services
6. Service Provider Terms
If you are an educational service provider using the BeAKid SaaS Platform, the following additional terms apply:
- You are solely responsible for the accuracy of your program listings, descriptions, pricing, schedules, and availability
- You must comply with all applicable laws regarding the services you offer, including licensing, insurance, and background check requirements
- You agree to honor bookings and registrations made through the platform, subject to your published cancellation policies
- You grant BeAKid a non-exclusive license to display your program information, logos, and content on our marketplace and promotional materials
- You are responsible for collecting and remitting any applicable taxes on your services
- We reserve the right to remove providers who receive consistent negative feedback, fail to meet quality standards, or violate these Terms
7. Payments and Fees
7.1 Marketplace Transactions
Payments for services booked through the BeAKid Marketplace are processed through our payment partners. We may charge service fees or transaction fees, which will be disclosed before any transaction is completed. Service providers are responsible for setting their own prices.
7.2 SaaS Subscriptions
The BeAKid SaaS Platform is offered on a subscription basis. Pricing, billing cycles, and plan features are described on our pricing page. Subscriptions automatically renew unless canceled before the end of the current billing period. You may cancel your subscription at any time, but no refunds will be provided for partial billing periods.
7.3 BeAKid-Brain Subscriptions
BeAKid-Brain app subscriptions are processed through Apple’s App Store and are subject to Apple’s terms and conditions for in-app subscriptions. Refund requests for App Store purchases must be directed to Apple. BeAKid-Brain offers Free, Plus ($74.99/year), and Genius ($249.99/year) subscription tiers.
7.4 School District Agreements
Pricing and terms for BeAKid School Access are established through individual agreements with school districts. Contact us for details.
8. Sponsored Content and Advertising
The BeAKid website (beakid.com) and marketplace may feature sponsored content, affiliate links, and promotional partnerships with educational service providers and relevant brands. Sponsored content will be clearly identified as such.
We may earn commissions or fees from sponsored content and affiliate partnerships. These relationships do not influence our editorial content, program ratings, or recommendations to parents. We only partner with brands and services that we believe are relevant to our community of parents and educators.
Important: The BeAKid-Brain mobile app does not contain any advertisements, sponsored content, or affiliate links. This distinction reflects our commitment to providing an ad-free learning environment for children.
9. User Content
Certain features of our Services allow you to post, submit, or share content, including reviews, comments, program descriptions, and other materials (“User Content”). You retain ownership of your User Content, but by posting it, you grant us a non-exclusive, worldwide, royalty-free, transferable license to use, reproduce, modify, display, and distribute your User Content in connection with operating and promoting our Services.
You represent that you own or have the necessary rights to post your User Content and that it does not violate any third party’s rights. We reserve the right to remove any User Content that violates these Terms or that we find objectionable, at our sole discretion.
10. Intellectual Property
All content, features, and functionality of our Services — including but not limited to text, graphics, logos, icons, images, software, educational content, and the overall design and architecture — are owned by Collective Learning Inc. and are protected by United States and international copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purposes in accordance with these Terms. This license does not include the right to modify, distribute, sell, license, or create derivative works based on our Services or content. The BeAKid name, logo, and all related marks are trademarks of Collective Learning Inc. You may not use our trademarks without our prior written consent.
11. Privacy
Your use of our Services is governed by our Privacy Policy, available at https://beakid.com/privacy. Our Privacy Policy describes how we collect, use, and protect your information. The BeAKid-Brain mobile app has a supplemental App-specific Privacy Policy available at https://beakid.com/brain/privacy that details the additional protections for children’s data in compliance with COPPA.
By using our Services, you consent to the collection and use of information as described in the applicable Privacy Policy.
12. Third-Party Services and Links
Our Services may contain links to third-party websites, services, or content that are not owned or controlled by BeAKid. We are not responsible for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we are not liable for any damage or loss caused by your use of or reliance on any third-party content, goods, or services.
13. Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that our Services will be uninterrupted, secure, or error-free. We do not endorse or guarantee the quality, safety, or legality of any educational service provider, program, or content listed on our marketplace. Parents and guardians are responsible for evaluating the suitability of any service provider or program for their children. We do not guarantee specific educational outcomes from any of our Services.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COLLECTIVE LEARNING INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES.
Our total aggregate liability to you for all claims arising out of or relating to these Terms or our Services shall not exceed the greater of (a) the amounts you have paid us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).
15. Indemnification
You agree to indemnify, defend, and hold harmless Collective Learning Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your User Content, your violation of these Terms, or your violation of any rights of any third party.
16. Termination
We may terminate or suspend your access to our Services immediately, without prior notice, for any reason, including if you breach these Terms. You may terminate your account at any time by contacting us or using the account deletion feature within the applicable Service.
We may terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the App will immediately cease. You may permanently delete your account at any time directly within the App by going to Settings → Delete Account. This action immediately and permanently removes your parent account, all child profiles, all quiz history, and all associated data from our servers, and the deletion cannot be undone. You may also contact us at support@beakid.com to request deletion if you prefer.
17. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or our Services shall be resolved exclusively in the state or federal courts located in Massachusetts, and you consent to the personal jurisdiction of such courts.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy and any supplemental terms for specific Services, constitute the entire agreement between you and Collective Learning Inc. regarding our Services.
18.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
18.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
18.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
18.5 Force Majeure
We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, pandemics, government actions, or internet service disruptions.
